Terms built for an honest embroidery workflow.

These terms explain how automated digitising, stitch-file conversion, viewers, accounts, credits and subscriptions may be used—and where production responsibility remains with the user.

Agreement and service provider

These Terms of Service govern access to Embroidery File Converter, including its website, file viewers, automated image digitising, embroidery file conversion, account workspace, credits, subscriptions, downloads and related services (the “Service”).

The Service is provided by MTTenterprise Inc., an Ontario corporation located at 201-1525 Alta Vista Drive, Ottawa, Ontario K1G 0G1, Canada (“MTTenterprise,” “we,” “us,” or “our”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility, accounts and guest purchases

You must be legally capable of entering into this agreement and must use the Service only in accordance with applicable law. You are responsible for accurate account information, safeguarding credentials and all activity performed through your account.

Some viewers and limited processing may be available without an account. When a guest purchases processing credits, we create or reuse an account for the checkout email and send a secure password-setup link. You are responsible for providing an email address you control.

Tell us promptly if you suspect unauthorized access. We may require email verification or additional checks to prevent repeated-account, quota or payment abuse.

Automated processing and production results

Image digitising creates a new software-generated stitch plan from artwork. File conversion translates stitch data that already exists. Viewers render supported files for inspection. Available inputs, outputs, limits and features may change as the Service evolves.

A software-validated file or preview is not a guarantee of a successful physical sew-out. Fabric, stabilizer, thread, needle, hoop, machine settings, design density and format limitations affect production. Always inspect the stitch proof and test-sew the file before production.

Automated output may simplify details, approximate colours, alter stitch order or require manual adjustment. You are responsible for confirming dimensions, thread sequence, machine compatibility and production safety.

Your files, permissions and intellectual property

You retain ownership of artwork, embroidery files and other content you submit. You grant us a limited, worldwide license to host, copy, transform and transmit that content only as needed to provide, secure and support the Service.

You represent that you own the content or have all permissions required to upload it, create derivative embroidery files and use the results. You must not upload copyrighted, trademarked, personal or confidential material without authorization.

MTTenterprise owns the Service, software, workflows, interface, documentation, trademarks and underlying technology. These Terms do not transfer ownership of our intellectual property to you.

Acceptable use

You must not:

  • upload malware, unsafe SVG markup or files intended to damage, probe or disrupt the Service;
  • bypass quotas, rate limits, device controls, payment controls or account restrictions;
  • reverse engineer, scrape or automate access except through an interface we expressly provide;
  • use the Service to infringe intellectual property, privacy, publicity or other legal rights;
  • resell access, share accounts or misrepresent output as manually reviewed when it was not; or
  • use the Service for unlawful, deceptive or abusive activity.

Free use, plans, limits and credits

Free allowances, plan allowances, file-size limits, processing priority and credit costs are shown in the Service and may differ by workflow. Image digitising and stitch-file conversion may have separate allowances and may consume different numbers of credits.

Purchased credits do not expire while the account remains active, but credits may be reversed following a refund, payment reversal, chargeback, fraud determination or correction of an erroneous grant. Credits have no cash value, cannot be transferred and may be used only with the Service.

We may apply reasonable technical controls to enforce limits and prevent abuse. We may change future allowances or credit pricing, but the price and quantity displayed when you confirm a purchase govern that transaction.

Billing, subscriptions and taxes

Payments are processed by Stripe. You authorize the applicable charge, including taxes presented at checkout. We do not receive or store your full card number.

If you buy a recurring plan, it renews automatically at the disclosed interval until cancelled. You may manage or cancel it through the billing portal. Cancellation stops future renewals; paid access ordinarily continues through the end of the current billing period unless law requires otherwise.

You are responsible for applicable taxes, currency conversion charges and issuer fees not collected by us. Failed or reversed payments may suspend paid features.

Cancellations and refunds

You may cancel a subscription at any time before its next renewal. Except where required by law or expressly stated at checkout, fees already paid are non-refundable and unused subscription allowances do not roll over.

Used credit purchases are not refundable. Requests involving duplicate charges, service non-delivery or an unused purchase will be reviewed individually. Contact us before initiating a chargeback so we can investigate. Nothing in these Terms limits non-waivable consumer rights.

Privacy and third-party processing

Our Privacy Policy explains what information we collect, file-retention periods, quota-abuse safeguards and how to request deletion.

Certain enabled features may send artwork or a rendered preview to a third-party AI provider for palette analysis, digitising recommendations or a simulated thread image. Those simulations are visual aids, not machine stitch files or production guarantees.

Availability and changes to the Service

We work to keep the Service available, but do not promise uninterrupted or error-free operation. Maintenance, provider outages, queue delays, unsupported files or security events may interrupt processing.

We may add, modify or discontinue features and formats. Material changes that negatively affect an active paid plan will be communicated when reasonably required.

Suspension and termination

You may stop using the Service or delete your account. We may suspend or terminate access for non-payment, security risk, legal requirements, repeated abuse or a material breach of these Terms.

After termination, access to files and unused credits may end. Certain records may be retained for billing, security, dispute resolution and legal compliance as described in the Privacy Policy.

Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee stitch quality, physical production results, exact colour matching or compatibility with every machine.

To the maximum extent permitted by law, MTTenterprise is not liable for indirect, incidental, special, consequential or punitive damages, production losses, damaged materials, lost profits or lost data. Our total liability arising from the Service will not exceed the greater of CAD $100 or the amount you paid us during the 12 months before the event giving rise to the claim.

These limits do not apply where prohibited by law and do not exclude liability that cannot legally be limited, including applicable statutory consumer rights.

Governing law, changes and contact

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to non-waivable local consumer rights, disputes will be brought in the courts located in Ottawa, Ontario.

If a provision is unenforceable, the remaining provisions remain effective. These Terms and policies referenced here are the entire agreement concerning the Service.
